Terms of Service

These Terms of Service (“Terms”) govern your access to and use of inovent.ai, related services, and the Inovent.Ai SEO desktop software (collectively, the “Services”). The Services are provided by Inovent.Ai LLC (“Inovent.Ai,” “we,” “us,” or “our”). By using the Services, you agree to these Terms.

1. Scope of These Terms

These Terms apply to the Inovent.Ai website, our contact and support workflows, downloadable software, product updates, license validation, and Inovent.Ai SEO. If you use a third-party integration through the Services, that third party's terms and policies also apply.

2. Inovent.Ai SEO License

Inovent.Ai SEO is licensed, not sold. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your internal business or personal SEO work.

The free tier may be used for one project. A paid subscription unlocks expanded usage, AI features, and external API integrations. Unless a separate written agreement says otherwise, a paid subscription covers one licensed user and up to two activated devices.

3. Free Tier and Paid Features

Free use of Inovent.Ai SEO is limited to a single project and excludes AI features and external API features. Those excluded features include AI providers, Google integrations, CMS publishing, local directory integrations, and similar connected services.

The paid plan is $40 per month and enables subscription-only features. We may add, remove, change, or repackage free and paid features over time, but changes will not reduce your rights for a paid billing period already purchased unless required for legal, security, technical, or third-party-service reasons.

4. Billing and Cancellation

Paid subscriptions renew monthly until canceled. You authorize our payment provider to charge the payment method associated with your subscription. You may cancel to stop future renewals. Unless required by law or expressly stated at purchase, fees already paid are not refundable and cancellation does not create a retroactive refund for a prior paid period.

5. Local Data and Your Responsibilities

Inovent.Ai SEO is local-first software. You control project data stored on your own machine, including keywords, crawl results, content, analytics caches, AI conversations, and source-code paths. You are responsible for backups, exports, migrations, device security, local file permissions, and any data you choose to import, publish, or send to third-party services.

6. Third-Party Services and Integrations

The Services may work with AI providers, Google APIs, WordPress or other CMS platforms, local directory providers, payment processors, hosting providers, update services, and other third-party services. We do not control those services and are not responsible for their availability, security, outputs, decisions, pricing, terms, policies, or data handling.

7. AI Features and Agentic Code Changes

AI features may generate inaccurate, incomplete, outdated, infringing, or unsuitable output. You are responsible for reviewing AI output before using, relying on, publishing, or implementing it. Agentic code fixes and technical SEO changes should be used only with source control, backups, and careful review. You are responsible for approving or rejecting any proposed file changes and for testing the results.

8. Use at Your Own Risk

You use the Services at your own risk. You are responsible for deciding whether the Services, outputs, recommendations, integrations, and generated materials are appropriate for your situation. You are also responsible for reviewing outputs, backing up data, securing devices and credentials, complying with laws, and deciding whether to publish content or implement recommendations.

9. No SEO Guarantees

Inovent.Ai does not guarantee rankings, traffic, conversions, revenue, indexing, AI citations, search visibility, or any specific SEO outcome. SEO results depend on many independent factors outside our control, including search engine algorithms, competitor activity, website quality, content quality, links, technical implementation, user behavior, market demand, third-party platform decisions, and the passage of time.

10. Acceptable Use

You may not use the Services to:

  • Violate laws, regulations, third-party rights, or platform rules.
  • Store, transmit, publish, or generate unlawful, harmful, or infringing material.
  • Abuse credentials, OAuth tokens, API keys, payment systems, or third-party integrations.
  • Bypass license, activation, project, subscription, usage, or feature limits.
  • Reverse engineer, modify, resell, sublicense, or redistribute the software except as allowed by law.
  • Introduce malware, interfere with security, overload systems, or attempt unauthorized access.
  • Use scraping, automation, or publishing workflows in ways that violate third-party terms.

11. Ownership and Intellectual Property

Inovent.Ai and its licensors own the Services, software, website, product names, logos, designs, templates, documentation, technology, and related intellectual property. Except for the limited license granted in these Terms, we reserve all rights.

You retain ownership of your project data, imported materials, prompts, outputs, drafts, and content, subject to applicable law and third-party provider terms. You represent that you have the rights needed to use any data or content you import, submit, publish, or process through the Services.

12. Updates, Availability, and Changes

We may provide updates that add, change, or remove features. The software may need periodic internet access for license validation, paid integrations, updates, and non-local AI providers. We do not guarantee that the Services will be uninterrupted, error-free, compatible with every system, or available at all times.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

14. Limitation of Liability

To the fullest extent permitted by law, Inovent.Ai will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, lost-data, ranking-loss, traffic-loss, business-interruption, goodwill-loss, third-party-service, or similar damages, even if we have been advised of the possibility of those damages.

To the fullest extent permitted by law, Inovent.Ai accepts no liability for your use of Inovent.Ai SEO, SEO recommendations, AI outputs, generated content, technical changes, publishing decisions, third-party integrations, or ranking outcomes. If a complete exclusion of liability is not enforceable, Inovent.Ai's total liability for all claims will be limited to the amount you paid to Inovent.Ai for the Services in the 12 months before the event giving rise to the claim, or the minimum amount required by applicable law.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Inovent.Ai from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Services, your data or content, your violation of these Terms, your violation of law or third-party rights, or your use of third-party integrations.

16. Termination

We may suspend or terminate access to the Services if you violate these Terms, create legal or security risk, fail to pay required fees, or use the Services in a way that may harm Inovent.Ai, other users, or third parties. You may stop using the Services at any time.

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the Services after updated Terms become effective means you accept the updated Terms.
